Subsale Timeline: From SPA to Title Registration
The real timeline of a subsale from signing the sale and purchase agreement to registration of the transfer, and where the time actually goes.

A standard subsale takes three to four months from the date the sale and purchase agreement is signed. The slowest stages are usually loan documentation and the discharge of the seller's existing charge, not registration at the land office.
The completion period in a sale and purchase agreement is normally set as a base period with an extended period carrying late interest. But the dates in the agreement and what happens in practice often differ, and the difference has causes.
The stages and what happens at each
- Before signing. Official title search to confirm the registered proprietor, existing charges, caveats and restrictions in interest. This stage is short but the most important.
- Signing and deposit. The deposit is paid and held as stakeholder money. The completion period starts running.
- Loan documentation. The letter of offer is accepted, loan documents are signed, the charge is prepared. This is usually the longest stage.
- Discharge of the seller’s charge. If the seller still has a loan, the seller’s bank has to issue a redemption statement and discharge documents.
- Stamping. The transfer instrument is submitted for adjudication and stamping.
- Registration. The transfer and the new charge are registered. The title changes name at this stage.
- Completion. The balance is released, keys are handed over, utility accounts are transferred.
Where the time actually goes
In our experience three choke points recur:
- Waiting on the bank. A late letter of offer, loan documents issued late, or further conditions imposed after documents are signed.
- Waiting on the seller’s redemption statement. Without exact figures from the seller’s bank, funds cannot be apportioned correctly.
- A valuation above the purchase price. Stamp duty rises and the buyer has to find the difference, sometimes at short notice.
If the title carries a restriction in interest
A title carrying a restriction in interest requires State Authority consent before the transfer can be registered. That application has its own queue and can add significant time. Knowing early means the application can be started early.
What you can control
- Have complete financial documents ready before applying for the loan
- Respond to document requests the same day
- Arrange EPF withdrawals early, not a week before completion
- Tell your lawyer early if you can see a delay coming, so an extension can be requested before the date expires

Frequently asked questions
Can a matter complete faster than three months?
It can, particularly on a cash purchase with no existing charge on the seller's side and no restriction in interest. What removes the speed is usually the loan and the discharge.
When does the completion period start running?
Normally from the date the sale and purchase agreement is signed, or from the date certain conditions are met. Check the clause in your agreement because it determines both parties' rights.
What if it is the seller who is late, not me?
The agreement usually provides for the consequences of each party's delay. If the delay is on the seller's side, your rights depend on the terms.
Can I move in before completion?
Only if the seller agrees in writing and the terms of early occupation are set out. Without that it is risky for both sides.
